Represented developer in $35 million purchase of entitled property. Drafted and negotiated the purchase and sale agreement and its amendments and performed title review.
Represented buyer in $57 million purchase of shopping center. Drafted amendments to the purchase and sale agreement and performed title review.
Represented the majority owner in $18 million development of 400+ acre property. Reviewed and revised the limited liability company operating agreement.
Represented school in $16 million development of new school campus. Drafted the predevelopment agreement, the purchase and sale agreement, and the build to suit lease. Performed title review and due diligence. Drafted and negotiated various easements and restrictions as well as other closing documents.
Represented buyer in $14 million purchase of multiple properties with put option financing from seller. Reviewed and revised the limited liability company agreement with financing terms.
Represented buyer in $17.5 million purchase of marina property. Performed title review and due diligence.
Represented seller in $8.3 million private equity refinance of apartment complex. Negotiated the purchase and sale agreement and limited liability company operating agreement.
Represented sponsor in $5 million private equity real estate investment. Drafted limited liability company agreements with specific distribution waterfall provisions.
Represented investor in a 5-year, $250K private equity investment in an online retailer. Negotiated the terms of the investment and revised the company operating agreement accordingly.
Represented property owner in $14 million construction loan financing. Reviewed the standard loan documents and negotiated and drafted an addendum to modify the standard terms.
Represented majority owner in corporate organization, bylaws, and stock sale agreements for the operator of $1.6 million retail property. Drafted and negotiated the various agreements and documents, as well as closing documents.
Represented seller in $9.25 million sale of apartment complex. Negotiated the purchase and sale agreement and closing documents.
Represented school in the $395K asset purchase of a Montessori academy, including all goodwill and intellectual property. Drafted and negotiated the asset purchase agreement, the owner financing loan documents, and the bills of sale and assignment.
Represented seller in $3 million sale of hotel property. Prepared purchase and sale agreement and performed seller side due diligence.
Represented buyer in $1.25 million purchase of garage and repair shop business and the associated real property. Drafted portions of the purchase and sale agreements and performed title review.
